Terms of Use

These terms govern your use of the KuberaX mobile app, the KuberaX desktop connector and the KuberaX service. By signing in, you agree to them on behalf of the business whose books you are opening.

1. What KuberaX is

KuberaX mirrors the accounting data held in your own Tally installation so that you can read it on a phone, and lets your team record entries — receipts, payments, sales and purchase invoices, sales and purchase orders, quotations, credit and debit notes, journals, contra entries, and new ledgers, groups and stock items — which are queued and written into your Tally by the KuberaX desktop connector.

KuberaX is a companion to Tally. It is not an accounting system, not a substitute for Tally, and not a substitute for professional accounting or tax advice. Tally is a product of Tally Solutions Pvt. Ltd.; KuberaX is not affiliated with, endorsed by, or sponsored by Tally Solutions.

2. Accounts

A KuberaX account is issued to a business. The account owner is responsible for every login on it — the device logins they issue to managers, accountants or staff, and the logins they create for their salesmen — for keeping credentials confidential, and for everything done under those logins.

The owner decides which of the account's Tally companies each login may open. A login sees nothing until the owner assigns it. Where the owner turns on approval, entries created by other logins wait for a named approver before the connector writes them into Tally; the owner is responsible for that queue being attended to.

You must give accurate account information, and you must not share a login between people. Tell us promptly if you believe a login has been compromised.

3. Subscription and billing

KuberaX is licensed to your business directly by Wenex E.R.P. Solution Pvt. Ltd. under a separate commercial agreement, which covers the fee, the billing period, and how many device logins the account may hold.

If a subscription lapses, the app stops opening your data until the account is reactivated. Your data is not deleted because of a lapse.

4. Your data

The business data you mirror into KuberaX remains yours. You grant us only the permission needed to host, transmit, back up and display it so the service can work. We do not sell it, and we do not use it to train machine-learning models. Our handling of it is described in the Privacy Policy.

You are responsible for having the right to upload the data you mirror, including any personal information about your own customers and suppliers.

5. Writing entries into Tally

When you create an entry or a new master in KuberaX, it is queued and the desktop connector writes it into your Tally when it next runs — after an approver has released it, if your account uses approval. You are responsible for reviewing what lands in your books. KuberaX will not delete or alter existing Tally records on its own.

Sync depends on the connector running on your Tally computer, on that computer being switched on, and on your internet connection. We do not guarantee that an entry reaches Tally at any particular moment.

6. Acceptable use

• Do not attempt to access another business's data.
• Do not probe, scan, overload or interfere with the service.
• Do not reverse-engineer, resell or sublicense the app or the connector.
• Do not use KuberaX to store data you have no right to hold, or for any unlawful purpose.

We may suspend an account that breaches this section.

7. Availability

We work to keep KuberaX available and correct, but it is provided on an "as is" basis without warranties of any kind. Maintenance, upgrades and faults can interrupt the service.

Tally is the system of record. KuberaX shows a mirror of your books. Where the two disagree, Tally is authoritative, and you should not rely on KuberaX figures for filing, audit or any legal purpose without checking them in Tally.

8. Limitation of liability

To the fullest extent Nepali law allows, Wenex E.R.P. Solution Pvt. Ltd. is not liable for indirect or consequential loss, for loss of profit, or for loss of data arising from your use of KuberaX. Our total liability in any twelve-month period is limited to the subscription fees you paid in that period.

Nothing here limits liability that cannot lawfully be limited.

9. Ending your use

You may delete your account at any time from Settings → Account & Legal → Delete Account. Deletion is immediate and irreversible, and removes the data described in the Privacy Policy. It does not touch your Tally installation.

We may terminate or suspend access for a material breach of these terms, or if a subscription goes unpaid.

10. Changes

We may update these terms. The date at the top shows when they last changed, and material changes will be notified to account owners by email. Continuing to use KuberaX after a change means you accept the updated terms.

11. Governing law

These terms are governed by the laws of Nepal, and the courts of Kathmandu have exclusive jurisdiction over any dispute arising from them.
